This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity) and FrameCounsel (“Licensor”) for the FrameCounsel forensic video analysis software, including all associated media, documentation, and updates (“Software”).
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
Subject to the terms of this EULA and payment of applicable license fees, FrameCounsel grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on Apple macOS devices that you own or control, solely for the purpose of forensic video analysis in connection with lawful legal defense work.

The Software includes artificial intelligence and machine learning models (“AI Models”) for transcription, face recognition, object detection, and natural language analysis. These AI Models are integral components of the Software and are subject to the following additional terms:
The Software is designed to maintain forensic integrity of digital evidence through non-destructive analysis, cryptographic hashing, and audit trails. However:
The Software processes all data locally on your device. FrameCounsel does not collect, transmit, store, or have access to any data processed by the Software, including but not limited to:
The Software contains no telemetry, analytics, crash reporting, or other data collection mechanisms.
The Software is protected by copyright laws and international treaty provisions. FrameCounsel retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not grant you any rights to trademarks, service marks, or trade names of FrameCounsel.
You retain all rights to your data, analysis results, and reports generated using the Software. FrameCounsel claims no ownership of any content you create with the Software.
FrameCounsel may release updates to the Software that include bug fixes, new features, and updated AI models. Updates are delivered through manual download from your license portal. There are no automatic updates.
Technical support is provided according to the terms of your license tier. Support requests are handled through encrypted email communication to protect the confidentiality of your case-related inquiries.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FRAMECOUNSEL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUT.
FRAMECOUNSEL DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FRAMECOUNSEL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF CASE DATA, INACCURATE ANALYSIS RESULTS, MISSED DEADLINES, INADMISSIBLE EVIDENCE, OR ANY OTHER PECUNIARY LOSS.
FrameCounsel's total aggregate liability under this EULA shall not exceed the license fees you actually paid for the Software in the twelve (12) months immediately preceding the event giving rise to the claim.
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession.
Termination of this EULA does not affect your ownership of data, reports, or analysis results created using the Software prior to termination. You may retain and use such work product after termination.
The Software may contain encryption technology and AI models subject to export controls under United States law. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.
This EULA shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action arising out of or relating to this EULA shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of such courts.
This EULA constitutes the entire agreement between you and FrameCounsel relating to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this EULA will be binding unless in writing and signed by FrameCounsel.
