By downloading, installing, or using FrameCounsel (“the Software”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Software.
These Terms constitute a legal agreement between you (or the entity you represent) and FrameCounsel. If you are using the Software on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Subject to these Terms and payment of applicable fees, FrameCounsel grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for the purpose of forensic video analysis in connection with legal defense work.
You may not:
FrameCounsel may offer a free trial period. During the trial, you may use the Software with full functionality. At the end of the trial period, continued use requires the purchase of a license. We will not automatically charge you at the end of the trial. No credit card is required for the trial.
License fees are listed on our pricing page and are subject to change with 30 days' notice. All fees are non-refundable except as required by applicable law or as described in our refund policy.
For subscription licenses, your license will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through the application or by contacting support.
You retain all rights to your data. FrameCounsel processes all data locally on your device. We have no access to your case files, video evidence, transcriptions, analysis results, or any other data generated by the Software.
You are solely responsible for the security, backup, and management of your data. FrameCounsel is not liable for any data loss resulting from hardware failure, software errors, or other causes.
FrameCounsel is designed for lawful forensic video analysis in connection with legal defense work. You agree to use the Software only for lawful purposes and in compliance with all applicable laws and regulations.
You may not use the Software for law enforcement surveillance, prosecution, or any purpose that would violate the civil rights of individuals. FrameCounsel is built for the defense. The face recognition and OSINT capabilities must be used in compliance with all applicable federal, state, and local laws.
FrameCounsel uses artificial intelligence and machine learning models to assist with video analysis, transcription, and contradiction detection. While we strive for accuracy, AI-generated output may contain errors.
All AI-generated analysis should be reviewed and verified by a qualified professional before being used in legal proceedings. FrameCounsel is a tool to assist human analysis, not a replacement for professional judgment. You are solely responsible for verifying the accuracy of any output before relying on it.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
FrameCounsel does not warrant that the Software will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, reliability, or completeness of any AI-generated analysis or output.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMECOUNSEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.
Our total aggregate liability for all claims arising out of or related to these Terms or the Software shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless FrameCounsel and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Software, your violation of these Terms, or your violation of any applicable law.
You may stop using the Software at any time by uninstalling it from your device. Your license terminates automatically if you fail to comply with these Terms.
FrameCounsel may terminate or suspend your license at any time for violation of these Terms. Upon termination, you must cease all use of the Software and destroy any copies in your possession. Termination does not affect your ownership of data created with the Software.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California.
We may update these Terms from time to time. Material changes will be communicated through the application or our website with at least 30 days' notice. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms.
